1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the NIVA platform, operated by PySquad Informatics LLP ("NivaLabs AI", "we", "us") at A 605, Shilp Aaron, Sindhubhavan Road, Ahmedabad, Gujarat 380054, India.

By accessing NIVA, booking a demo, or using our services in any capacity, you agree to be bound by these Terms. If you disagree, do not use the platform.

2. Description of Service

NIVA is an AI-powered chatbot builder that allows businesses to create, configure, and deploy intelligent chatbots trained on their own data. The platform includes:

• An admin panel for bot configuration, branding, and knowledge base management.
• A Multi Agent knowledge indexing system for PDFs, URLs, and documents.
• Embeddable chatbot widgets for deployment on third-party websites.
• A multi-tenant role system for client and team access management.
• Lead capture and session analytics tools.

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your admin login credentials.
• All activity that occurs under your account.
• Ensuring that content uploaded to your knowledge base does not infringe third-party intellectual property rights.
• Informing your end users that their conversations with your bot may be stored.
• Complying with all applicable laws in the jurisdictions where you deploy your bot.

4. Acceptable Use

You may not use NIVA to:

• Distribute misinformation, harmful content, or content that is defamatory, obscene, or illegal.
• Impersonate any person, organisation, or brand without authorisation.
• Collect personal data from end users without appropriate disclosures and consent.
• Attempt to reverse-engineer, decompile, or extract the underlying platform code.
• Resell or sublicense access to the platform without prior written agreement with NivaLabs AI.

5. AI-Generated Content

NIVA uses large language models (LLMs) to generate chatbot responses. You acknowledge that:

• AI-generated responses may occasionally be inaccurate, incomplete, or misleading.
• You are responsible for reviewing your bot's system prompt and knowledge base to minimise harmful or incorrect outputs.
• NivaLabs AI does not guarantee the accuracy of any AI-generated content served by your bot.
• You should not deploy NIVA bots for high-stakes decisions in medical, legal, or financial contexts without appropriate human oversight.

6. Knowledge Base Content

You retain ownership of all content you upload to your bot's knowledge base. By uploading content, you grant NivaLabs AI a limited licence to process, index, and store that content solely for the purpose of powering your bot's responses.

7. Intellectual Property

All platform code, design, trademarks, and documentation related to NIVA are owned by PySquad Informatics LLP. You may not copy, reproduce, or distribute any part of the platform without written permission.

Bot configurations, system prompts, and branding you create within NIVA remain your intellectual property.

8. Service Availability

We aim to maintain high uptime for the NIVA platform but do not guarantee uninterrupted availability. Scheduled maintenance, third-party AI provider outages, or infrastructure issues may cause temporary unavailability. We will communicate planned downtime where possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NivaLabs AI and PySquad Informatics LLP shall not be liable for:

• Any indirect, incidental, or consequential damages arising from your use of NIVA.
• Loss of data, revenue, or business opportunities resulting from platform downtime or AI errors.
• Damages resulting from your failure to comply with these Terms.

Our total liability to you for any claim shall not exceed the amount paid by you to NivaLabs AI in the three months preceding the claim.

10. Termination

Either party may terminate the service relationship with 30 days written notice. NivaLabs AI reserves the right to suspend or terminate accounts immediately if these Terms are violated. Upon termination, you may request deletion of your data within 30 days.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to registered account holders via email with at least 14 days notice. Continued use after the effective date constitutes acceptance of the updated Terms.
